1. Introduction
Welcome to SweetBot Inc. These Terms and Conditions ("Terms") govern your access to and use of our AI-based coaching services, including our website, mobile applications, and other platforms (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.
2. Eligibility
You must be at least 18 years old to use our Services. By accessing or using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Account Registration

5. Payment and Subscription
5.1 Fees
Certain features of our Services may require payment of fees. You agree to pay all applicable fees in connection with your use of the Services. Fees are non-refundable except as expressly stated otherwise.
5.2 Subscription Plans
We may offer subscription plans with recurring payments. By subscribing to a plan, you authorize us to charge your payment method on a recurring basis for the subscription term. You may cancel your subscription at any time, but you will not receive a refund for any unused portion of the subscription term.
6. Intellectual Property
6.1 Ownership
All content and materials available through our Services, including but not limited to text, graphics, logos, images, audio clips, video clips, and software, are the property of SweetBot Inc. or its licensors and are protected by intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use. This license does not grant you any rights to copy, modify, distribute, or create derivative works of any content or materials available through our Services.
7. Privacy
Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.
8. Disclaimers and Limitation of Liability
8.1 No Warranties
Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2 Limitation of Liability
To the fullest extent permitted by law, SweetBot Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
9. Indemnification
You agree to indemnify, defend, and hold harmless SweetBot Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
10.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada (ADRIC). The arbitration shall take place in Ontario, Canada, and the arbitrator's decision shall be final and binding. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
11. Termination
We reserve the right to terminate or suspend your access to our Services, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Services will immediately cease.
12. Changes to These Terms
We may update or modify these Terms from time to time at our sole discretion. We will notify you of any changes by posting the new Terms on our website and updating the effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SweetBot Inc. regarding the use of our Services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
